Questions & Answers

Getting started

What does KV Online do?

KV Online Limited is a music brokerage. We help rights holders sell or finance their music catalogues by reviewing the catalogue, advising on suitable deal structures, and introducing it to relevant partners in our network.

What does your initial catalogue review involve?
The review covers three areas:
  • Catalogue performance. We analyse historical earnings and work out the average annual revenue the catalogue generates. Using our internal tools and market data, we can typically give an indicative valuation within one business day of receiving the required information.
  • Catalogue health. We look at growth, stability and decline patterns, to understand how partners are likely to assess the asset and which valuation multiples may be achievable.
  • Rights and contractual position. We review the underlying agreements, including ownership, transferability, restrictions on sale and any termination provisions. This helps us identify the most suitable partners and the transaction structures likely to be available.
What will I receive after the review?

Our preliminary findings, indicative valuation parameters, suitable transaction structures, and our recommendations on next steps.

Does the initial review cost anything?

No. The initial review is free of charge. We can only start it once our brokerage agreement has been fully executed.

Timeline

How long does the review take?

Subject to receiving the required documents and an executed brokerage agreement, we can typically complete the initial review and provide an indicative valuation within one business day.

What happens after the review, and how long does it all take?

Once we have agreed a suitable transaction strategy with you, we begin approaching relevant partners from our network. Initial offers can often be received within about seven days, depending on the catalogue and partner appetite. After a preferred partner and structure are chosen, transactions can complete anywhere from 10 to 60 days, depending on the partner, deal type, due diligence requirements and contractual complexity.

When do you approach partners?

Only after the brokerage agreement has been executed and the catalogue review is complete.

Documents and data

What documents do you need?

Our preferred starting point is the royalty reports. If the catalogue has third-party contractual restrictions (for example, recording agreements with a label), we would ideally receive the royalty data and the relevant recording agreements together, as both matter for assessing value, ownership position and marketability. For independently controlled catalogues with no third-party restrictions, we can begin with royalty data alone. You can share documents in stages if that is more convenient.

What should the royalty data include?
Reports should ideally cover 2022 to 2026 and include:
  • Track title and artist name
  • ISRC
  • Number of streams
  • Date of activity
  • Revenue generated
  • Platform or source of income
  • Territory or country
Which file formats do you accept?

CSV, TSV, XLS and XLSX are all acceptable.

Can you share a sample royalty statement or template?

We are unable to provide sample royalty statements because of our confidentiality obligations. The data list above shows what the reports should contain.

How do I send you documents securely?

Royalty data and recording agreements can be shared securely through a Google Drive link. Identification documents for KYC and compliance can be sent directly by email.

Agreement, KYC and confidentiality

What KYC checks do you carry out?

Our Business Affairs team carries out standard KYC and compliance checks to make sure we are engaging with the right person and entity. We require a government-issued photo ID and, if you are acting for a company, company registration documents confirming your authority to act on its behalf. Once received and verified, KYC is typically completed within one working day.

How is the agreement signed?

After KYC is successfully completed, we issue the final agreement to sign electronically through DocuSign.

How do you handle confidentiality?

We follow strict confidentiality procedures throughout the process. We regularly enter into NDAs with prospective partners before any sensitive information is shared.
